BIOGRAPHY
EXPERTISE:
24 years as outside counsel to major public and
private corporations, financial institutions,
real estate developers, entrepreneurs, venture
capitalists, investors and underwriters.
EDUCATION:
Graduated from George Mason University School
of Law in Arlington, Virginia, 1982 (top 10%),
Bachelor of Arts from American University, School
of Government and Public Administration in Washington,
D.C.
REAL ESTATE TRANSACTION SERVICES:
Approved counsel for state, regional, national
and international financial institutions and institutional
lenders, real estate developers and investors.
Representing clients in the acquisition, development,
financing, construction, management, leasing and
disposition of real estate. Extensive experience
in complex real estate transactions including
apartments, office buildings, hotels, motels,
factory outlets, shopping centers, commercial
strip centers, regional malls, condominiums, time-share
resorts, manufactured housing, retail, self-storage
facilities, industrial parks, warehouse facilities,
agricultural property, retirement facilities,
nursing homes, health care facilities, marinas
and vacant land.
BUSINESS TRANSACTION SERVICES:
Serves as outside general counsel to numerous
corporations, many of which he has counseled from
their initial formation through their growth to
regional, national and international business
operations. Provides business-oriented legal counsel
to an array of clients ranging from emerging private
and public companies to individual entrepreneurs,
venture capitalists, investors, financial institutions
and underwriters, counseling them on such complex
matters as securities, public offerings, private
placements, venture capital investments, leverage-buyouts,
recapitalization, reorganizations, restructures,
acquisitions, mergers, dispositions, work-outs,
defensive structuring and takeovers.
LITIGATION SERVICES:
Represents clients in Federal, State and Appellate
Courts in commercial litigation. Prosecute and
defend a broad range of claims that arise in the
course of doing business, including business torts,
private or public contracts, employment, commercial,
lender liability, securities, construction and
real property litigation. Counsels lenders in
the resolution of complex, trouble-debt restructures,
foreclosures, collections, workouts and bankruptcy
matters.
